Reseller Agreement

1. Reseller agrees not to publicly advertise a price for X-IM Pro that is less than $38 US per year.
2. Reseller understands that X-IM Software requires notification from both the end user and Reseller before refunding any account. Given notification from both parties within 30 days of initial payment, X-IM Software will cancel the account and refund Reseller's full payment to Reseller's PayPal account, after which Reseller will refund the end user's payment to the end user.
3. Reseller understands that the X-IM software and the contents of the X-IM website are copyrighted by X-IM Software, and that "X-IM" and "X-IM: Encrypted Instant Messaging" are trademarks of X-IM Software.
4. Reseller agrees not to copy any portion of the X-IM website without specific approval from X-IM Software.
5. Reseller agrees not to use any X-IM logos without specific approval from X-IM Software.
6. So long as Reseller is in full compliance with this Reseller Agreement, Reseller shall have the right to display and advertise the taglines "Authorized X-IM Reseller" and "Authorized Provider of X-IM: Encrypted Instant Messaging Services".
7. The Trademarks shall be attributed to "X-IM Software" everywhere they are used.
8. Reseller may not use the Trademarks, in whole or in part, as part of Reseller's company name, domain name, product name, logo, trade dress, design, slogan, or other trademarks, or as the title of Reseller's Website. Reseller may not use the Trademarks in association with any of Reseller's trademarks in any manner that might suggest co-branding or otherwise create potential confusion as to source or sponsorship of Reseller's content or Website, or ownership of the Trademarks.
9. Reseller shall make such changes to the X-IM Trademarks and descriptions as X-IM Software shall reasonably request to protect the value of the Trademarks used by Reseller.
10. Reseller agrees not to register any trademarks or trade names of X-IM Software without its prior written consent, and agrees not to register any confusingly similar trademarks or trade names.
11. In all its actions relating to the X-IM software, Reseller agrees to abide by all provisions of the end user agreement, found at http://www.x-im.net/enduser.asp, and the privacy statement, found at http://www.x-im.net/privacy.asp, which are incorporated in this Agreement by reference.
